    Venue Partner Terms and Conditions

Last updated: September 2026 · Governing law: DIFC Courts, Dubai, UAE

These Venue Partner Terms and Conditions ("Terms") are issued by Trainable AI Technologies FZCO, a company incorporated in the United Arab Emirates, with its registered office in Dubai, UAE ("Trainable", "we", "us"), and govern the relationship between Trainable and any venue, gym, studio, club, or trainer business that registers to list services on the Trainable platform ("Partner", "you").

By creating a Partner account, listing Services on the Platform, or otherwise using the Platform as a venue or trainer partner, Partner agrees to be bound by these Terms.

    1. Background

1.1 Trainable operates an AI-powered fitness and sports marketplace connecting verified trainers and venues with clients in the UAE (the "Platform").

1.2 Partner provides fitness, sports, or wellness services and wishes to be listed and offer bookable services on the Platform.

1.3 These Terms set out the terms on which Trainable and Partner collaborate, including the terms on which Partner will process personal data of clients referred through the Platform, as set out in Schedule 1 (Data Processing Terms).

    2. Definitions

2.1 "Client" means an end user who books a session, class, or service delivered by Partner through the Platform, whether at a fixed location, a partner or community facility, or another agreed location.

2.2 "Personal Data", "Processing", "Controller", "Processor", "Data Subject" and "Personal Data Breach" have the meanings given in the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021) and its executive regulations ("PDPL").

2.3 "Services" means the services, classes, and sessions that Partner makes bookable through the Platform, regardless of location.

    3. Term

3.1 These Terms take effect on the date Partner's profile is published live on the Platform, and continue for as long as Partner maintains an active account and listing on the Platform.

3.2 Either party may terminate in accordance with Clause 13 (Term and Termination).

    4. Partner Listing

4.1 Trainable will list Partner and Partner's Services on the Platform, including venue profile, photos, pricing, and availability as provided by Partner.

4.2 Partner will provide accurate, current information about its venue, Services, pricing, and any trainers or instructors featured on the Platform, and will promptly notify Trainable of any changes.

4.3 Client booking and payment for Services is made through the Platform at the time of booking, with payment collected and processed via Stripe as set out in Clause 5. Bookings made through the Platform are between Partner and the Client; Trainable facilitates discovery, booking, and payment collection, but is not a party to the underlying service relationship between Partner and Client. Trainable bears no liability for the actual delivery of any Service, including any injury, illness, or property damage arising from it, which is Partner's sole responsibility as set out in Clause 12.1(c).

    5. Fees

5.1 Trainable's commission on bookings completed through the Platform, and any applicable platform subscription fee, are as set out in the pricing plan selected by Partner at registration, currently published at trainable.ae/pricing (excluding VAT).

5.2 Client payments for bookings are collected by Trainable at the time of booking and processed via Stripe, Inc. and its applicable affiliates ("Stripe"), Trainable's third-party payment processor. Trainable will deduct the applicable commission from each booking and pay out the net amount to Partner via Stripe; any subscription fee is billed separately as a recurring monthly Stripe charge. Payouts are made in AED per Stripe's standard payout schedule.

5.3 To receive payouts, Partner must complete registration and identity verification (KYC) with Stripe via the Platform and keep its Stripe account details accurate and up to date. Liability for any payout delay, failure, or hold arising from Stripe's own verification, processing, dispute, or risk-management procedures is governed by Stripe's terms of service, not by these Terms, subject always to Clause 11 (Liability); Trainable is not liable for any such delay, failure, or hold caused by Stripe. Partner's use of Stripe is additionally subject to Stripe's own terms of service.

5.4 Refunds are governed by Trainable's standard Cancellation Policy, which applies to all Platform Bookings: Clients cancelling 24+ hours ahead receive a full refund, at no charge to the Client. A Client who does not cancel and fails to attend forfeits the Booking fee entirely, and Partner receives the amount less the applicable commission, as with any completed Booking. Attended or redeemed Bookings are non-refundable. Where Partner cancels a confirmed Booking, or a confirmed Booking cannot proceed due to a problem on Trainable's side, the full amount is refunded to the Client and Partner receives no payout for that Booking. For all other completed Bookings, Partner receives the Booking amount less the applicable commission, adjusted for any applicable refund in Partner's next payout.

5.5 All amounts referred to in this Clause 5 are exclusive of VAT, which will be added where applicable under UAE law and reflected in the amounts processed via Stripe.

    6. Partner Obligations

6.1 Partner confirms that it holds a valid UAE trade licence permitting it to provide the Services, and will provide a copy of this licence to Trainable prior to onboarding.

6.2 Partner will maintain appropriate insurance for its operations and Services across all locations where it delivers Services, and will ensure that any trainers or instructors it engages hold appropriate qualifications and certifications.

6.3 Partner will honour bookings made through the Platform on the terms displayed at the time of booking, in accordance with Trainable's standard Cancellation Policy.

6.4 Trainable's Cancellation Policy governs all Platform bookings. Partner will not offer Clients different cancellation terms without Trainable's prior written consent.

6.5 Partner will process Client Personal Data strictly in accordance with Schedule 1.

6.6 Partner will complete and maintain its Stripe Connect registration and identity verification, and will promptly update its payout and banking details, in order to receive payouts under Clause 5.

6.7 Before submitting any trainer's personal data to Trainable (including via a trainer roster), Partner will comply with Section 9 of Schedule 1, including informing the trainer and ensuring Partner has a valid lawful basis to share their data.

    7. Trainable Obligations

7.1 Trainable will operate and maintain the Platform with reasonable skill and care, and will provide Partner with reasonable support to complete onboarding.

7.2 Trainable will not disclose Partner's confidential business information to competing venues.

7.3 Where Trainable becomes aware of a failure or error on its side that affects Partner or the Services provided through the Platform, Trainable will investigate and take reasonable steps to resolve it within a reasonable timeframe, and in any event within ten (10) business days of becoming aware of it.

    8. Intellectual Property

8.1 Each Party retains ownership of its own pre-existing intellectual property. Partner grants Trainable a non-exclusive licence to use Partner's name, logo, and venue images for the purpose of operating and marketing the Platform during the term of these Terms.

8.2 Nothing in these Terms transfers ownership of the Platform, its software, or underlying technology to Partner.

    9. Confidentiality

9.1 Each Party will keep confidential the other Party's non-public business, technical, and commercial information disclosed under these Terms, and will use it only for the purposes of these Terms.

9.2 This Clause 9 survives termination of these Terms for a period of two (2) years.

    10. Data Protection

10.1 In providing Services to Clients referred through the Platform, Partner acts as a Processor of Client Personal Data on behalf of Trainable, who acts as Controller. In respect of personal data Partner submits to Trainable about its trainers or instructors, Trainable acts as Controller. The terms governing both are set out in Schedule 1 (Data Processing Terms), which forms an integral part of these Terms.

10.2 In the event of any conflict between the main body of these Terms and Schedule 1 in relation to data protection matters, Schedule 1 prevails.

    11. Liability

11.1 Except in respect of breaches of Schedule 1 or confidentiality, neither Party's aggregate liability under these Terms, including under Clause 12 (Indemnification), will exceed the greater of (a) the total fees paid or payable under these Terms in the twelve (12) months preceding the claim, or (b) AED 50,000.

11.2 Neither Party excludes or limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be limited under UAE law.

    12. Indemnification

12.1 Partner will indemnify and hold Trainable harmless against all third-party claims, losses, liabilities, and reasonable costs arising from: (a) Partner's breach of its trade licence, insurance, or other regulatory obligations; (b) Partner's breach of Schedule 1 (Data Processing Terms); or (c) the provision of Services by Partner, wherever delivered, including any death, personal injury, or property damage, to the extent caused by Partner's breach of these Terms, negligence, or wilful misconduct, or that of its trainers, staff, or contractors.

12.2 Trainable will indemnify and hold Partner harmless against third-party claims that the Platform, as provided by Trainable, infringes a third party's intellectual property rights.

12.3 The indemnified Party will promptly notify the indemnifying Party of any claim, allow the indemnifying Party to control its defence and settlement (without admitting liability without the indemnifying Party's consent), and provide reasonable cooperation at the indemnifying Party's cost.

    13. Term and Termination

13.1 Either Party may terminate these Terms immediately on written notice if the other Party commits a material breach that is not remedied within fourteen (14) days of written notice, or becomes insolvent. Trainable may also suspend or deactivate a Partner's account for a suspected breach of these Terms pending investigation.

13.2 On termination, Partner will stop accepting new bookings through the Platform and the Parties will honour existing confirmed bookings unless otherwise agreed. Clauses 5, 6, 9, 10, 11, 12, and Schedule 1 survive termination to the extent necessary to govern those existing bookings and the Parties' other surviving obligations.

    14. General Provisions

14.1 Governing Law and Jurisdiction: These Terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without prejudice to any applicable free zone regulations. The Parties expressly, specifically, and irrevocably agree that the Courts of the Dubai International Financial Centre ("DIFC Courts") shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms, including their existence, validity, or termination.

14.2 Notices: Notices to Trainable under these Terms must be sent to finance@trainableai.io. Notices to Partner will be sent to the email address associated with Partner's account.

14.3 Entire Agreement: These Terms, including their Schedules, constitute the entire agreement between the Parties regarding its subject matter.

14.4 Assignment: Partner may not assign these Terms without Trainable's prior written consent, save that Trainable may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all its assets.

14.5 Force Majeure: Neither Party is liable for delay or failure to perform caused by events beyond its reasonable control.

14.6 Amendments: Trainable may update these Terms (including Schedule 1) from time to time, including to comply with changes in applicable law, on reasonable notice to Partner via the Platform or by email. Continued use of the Platform after such notice constitutes acceptance of the updated Terms.

By creating a Partner account, listing Services on the Platform, or otherwise using the Platform as a venue or trainer partner, Partner confirms it has read, understood, and agrees to be bound by these Terms and Conditions.

Schedule 1 – Data Processing Terms

This Schedule 1 sets out the terms on which Partner ("Processor") processes Client Personal Data on behalf of Trainable ("Controller") in connection with bookings made through the Platform, and forms an integral part of these Terms. It is intended to satisfy the requirements of Article 8 of the UAE PDPL (processor obligations) and its executive regulations.

    1. Subject Matter, Duration, Nature and Purpose

1.1 Subject matter: the Processing of Client Personal Data necessary for Partner to deliver booked Services to Clients referred via the Platform.

1.2 Duration: for the term of these Terms, and thereafter only as required to comply with Clause 7 (Deletion and Return of Data) of this Schedule.

1.3 Nature of Processing: collection, storage, use, and disclosure of Client Personal Data strictly to schedule, confirm, and deliver booked sessions or classes at the location where Partner delivers the Service.

1.4 Purpose: session delivery and related administration only. Partner must not use Client Personal Data for any other purpose, including independent marketing, without Trainable's prior written consent and a documented lawful basis.

    2. Categories of Data and Data Subjects

2.1 Categories of Personal Data: Client name, contact number, email address, and booking date/time. Payment card and payout details are processed solely by Trainable's payment processor, Stripe, and are not shared with Partner beyond what Stripe discloses to Partner directly for its own payout account.

2.2 Where Partner's trainers collect health, fitness, or injury-related information directly from a Client in the course of delivering a session, this is sensitive personal data under the PDPL. Such data must be collected and processed only with the Client's explicit consent, obtained by Partner directly, and is outside the scope of data shared via the Platform.

2.3 Categories of Data Subjects: Clients who book Services delivered by Partner through the Platform.

    3. Processor Obligations

3.1 Partner will Process Client Personal Data only on Trainable's documented instructions, including those set out in this Schedule, unless required to do otherwise by UAE law, in which case Partner will inform Trainable before Processing (unless prohibited from doing so).

3.2 Partner will ensure that personnel authorised to Process Client Personal Data are subject to a binding duty of confidentiality.

3.3 Partner will implement appropriate technical and organisational security measures to protect Client Personal Data against unauthorised or unlawful Processing, accidental loss, destruction, or damage, proportionate to the risk.

3.4 Partner will assist Trainable, at Trainable's cost, in responding to Data Subject requests (access, correction, deletion, objection) to the extent Partner holds relevant Client Personal Data.

3.5 Partner will not transfer, store, or permit access to Client Personal Data outside the United Arab Emirates without Trainable's prior written consent and confirmation of an adequate safeguard recognised under the PDPL. This restriction does not apply to Partner's use of standard business email, calendar, or office productivity tools where the provider maintains recognised data protection certifications and standard contractual clauses recognised under the PDPL; for any other cloud-based tool that will store or process Client Personal Data, Partner will seek Trainable's written consent as set out above, and Trainable will respond within five (5) business days.

    4. Sub-processors

4.1 Partner will not engage any third party (including CRM, scheduling, or marketing tools) to Process Client Personal Data without Trainable's prior written consent.

4.2 For the avoidance of doubt, Stripe is engaged directly by Trainable as an independent payment processor for Client payments and Partner payouts, and is not a sub-processor of Partner under this Schedule. Partner's own use of Stripe to receive payouts (including any KYC information Partner provides directly to Stripe) is governed by Stripe's terms and is outside the scope of this Schedule.

4.3 Where consent is given, Partner remains fully liable for that sub-processor's acts and omissions, and will impose data protection terms on the sub-processor no less protective than this Schedule.

    5. Personal Data Breach Notification

5.1 Partner will notify Trainable without undue delay, and in any event within seventy-two (72) hours of becoming aware, of any Personal Data Breach affecting Client Personal Data, providing sufficient information to allow Trainable to meet its own notification obligations under the PDPL.

5.2 Partner will cooperate with Trainable's investigation and remediation of any such breach at Partner's own cost where the breach arises from Partner's Processing.

    6. Audit Rights and Records

6.1 Trainable may, on reasonable written notice and no more than once per year (or at any time following a Personal Data Breach), audit or request evidence of Partner's compliance with this Schedule.

6.2 Partner will maintain records of its Processing activities under this Schedule sufficient to demonstrate compliance, and will make these available to Trainable on request.

    7. Deletion and Return of Data

7.1 On termination or expiry of these Terms, or earlier on Trainable's request, Partner will, at Trainable's election, securely delete or return all Client Personal Data in its possession, except: (a) to the extent retention is required by applicable law, in which case Partner will continue to protect the data in accordance with this Schedule for the duration of that retention; and (b) to the extent reasonably necessary to deliver any Bookings that survive termination under Clause 13.2, in which case Partner will delete that data once those Bookings are complete. Routine encrypted backups may continue to follow Partner's normal retention cycle, not exceeding ninety (90) days, and are not required to be purged ahead of schedule, provided the data within them is not actively accessed or used and is deleted in the ordinary course when that cycle completes.

    8. Liability

8.1 Partner is liable for any loss or damage caused by its Processing of Client Personal Data where it has failed to comply with its obligations under the PDPL or this Schedule, or has acted outside or contrary to Trainable's lawful instructions.

    9. Trainer Personal Data

9.1 This Section 9 governs personal data that Partner submits to Trainable about Partner's trainers or instructors (including via a trainer roster or otherwise), for the purpose of verifying trainer identity and qualifications and, where Partner elects, listing individual trainer profiles on the Platform ("Trainer Data").

9.2 In respect of Trainer Data, Trainable acts as Controller, not Processor. Trainable will Process Trainer Data only for verification, onboarding, and platform listing purposes, and in accordance with the PDPL.

9.3 Before submitting any trainer's personal data to Trainable, Partner will inform that trainer that their data is being shared with Trainable for these purposes, and will ensure Partner has a valid lawful basis under the PDPL to do so, including the trainer's consent where consent is the applicable basis. Partner will provide evidence of this on Trainable's reasonable request.

9.4 Trainer Data may include identity documents (Emirates ID or passport), visa or work status, and freelance permit details. Partner will only submit the Trainer Data reasonably necessary for verification and listing, and will not include health or medical information about a trainer without that trainer's explicit consent obtained directly by Partner.

9.5 Trainable will apply appropriate technical and organisational security measures to Trainer Data, will not use it for purposes beyond those in Clause 9.1 without a further lawful basis, and will delete or anonymise Trainer Data within a reasonable period after a trainer is no longer listed or associated with Partner on the Platform, except to the extent retention is required by law.

9.6 A trainer may exercise their PDPL data subject rights (including access, correction, and deletion) directly with Trainable as Controller of their Trainer Data. Partner will refer any such request received from a trainer to Trainable without undue delay.
